Job Description

  • As a senior member of Group Corporate Secretariats (GCS) regional West subsidiary governance leadership team, provide guidance to and oversight of the company secretaries across West Africa (Nigeria, Ghana, Gambia, Cameroon, Cote d Ivoire, Sierra Leone) in order to further embed high standards of corporate governance across the region.
  • To ensure the continuous delivery of a high quality, efficient and effective company secretarial service to the region’s boards, their committees, directors, shareholders and the businesses.
  • Drive the delivery of the GCS collective agenda and strategic priorities across the region.


Key Roles & Responsibilities

  •     Support the Head of Subsidiary Governance, West, and develop and build strong linkages with the country CEOs and the Regional CEO for West Africa.
  •     Provide thought leadership and stimulate best practice sharing across the region and the wider network.
  •     Enhance board effectiveness by overseeing effective implementation of actions plans from board effectiveness reviews across the region.
  •     Drive high levels of engagement among the company secretarial teams in West Africa.
  •     Work closely with the company secretaries to ensure that the Subsidiary Governance Policy and the company secretary minimum standards are fully embedded and understood.
  •     Coach and enable the company secretaries to deliver consistently high trusted advisory support to their respective CEOs and boards, particularly in relation to succession planning; director inductions and training; linkages between the subsidiary boards and Group or PLC; and anticipated regulatory governance changes.
  •     Take a lead role at Regional CEO level on all trusted advisory support.
  •     Ensure a thorough understanding across the region’s company secretaries of all GCS policies and embed robust assurance processes.
  •     Embed a structured approach to professional development focused on acquiring a deep knowledge and understanding of banking and business dynamics.


Qualifications & Skills

  •     Hold a professional qualification (for example legal, chartered secretary or chartered accountant) with technical knowledge and experience, ideally gained within the financial services sector
  •     Excellent interpersonal and written and verbal communication skills with the ability to communicate at all levels and between different cultures
  •     Possess a flexible and collegiate approach with the ability to contribute to teamwork enhancement
  •     Ability to prioritise workload and manage deadlines
  •     Reliable, self-motivated and proactive
  •     Experience of working within an international organisation of substantial size and complexity
  •     Ability to lead, empower and motivate a team
  •     Strong leadership and influencing skills including excellent stakeholder management skills
  •     A conceptual and analytical thinker
  •     Proven excellent organisational and forward planning skills are essential
  •     Possess the ability to identify and drive opportunities for continuous improvement
  •     Excellent attention to detail
  •     Possess a pragmatic and common sense approach
  •     Willingness to undertake reasonable amount of travel across the region.
